Terms for clubs

These terms apply between Richi AI, owner Yves-Marcel Richel, Homburger Landstraße 851, 60437 Frankfurt am Main, Germany, info@richi.solutions ("PadelLeague") and the club using PadelLeague Clubs (clubs.padelleague.ai). They are addressed exclusively to businesses, associations and other organisations. The German version is binding.
1. Services
PadelLeague provides the club with software to manage courts, opening hours, prices and bookings, a public club profile and the option to take bookings through PadelLeague. Scope and features may evolve; we announce material restrictions with reasonable notice.
2. Contract for bookings
When a player or guest books a court, the contract for using the court is concluded solely between them and the club. PadelLeague provides the booking technically and is not a party to it. The club sets prices, the cancellation period and house rules and is itself responsible for the service on site, invoicing and tax obligations.
3. Payment
Until online payment is enabled, players pay at the club. Fees for using PadelLeague only apply once separately agreed in advance; without such an agreement, use is free of charge.
4. The club's obligations
The club keeps its details (courts, opening hours, prices, cancellation period, contact details) current and correct, honours confirmed bookings and informs bookers of cancellations without delay. It ensures that only authorised people can access its club account and invites team members only with the role they need.
5. Content and club profile
The club is responsible for the content it adds (texts, logo, images, links) and grants PadelLeague the simple, free right to show it on PadelLeague and in search engines for the term of the contract. Details PadelLeague compiled from public sources such as the club website before the takeover can be changed or replaced by the club at any time.
6. Data protection
PadelLeague processes bookers' data on behalf of the club under the data processing agreement the club concludes together with these terms. PadelLeague is itself the controller for player accounts on PadelLeague.
7. Availability
PadelLeague strives for uninterrupted operation but does not owe any particular availability. We schedule maintenance outside peak booking times where possible.
8. Liability
PadelLeague is liable without limitation for intent, gross negligence, injury to life, body or health and under the Product Liability Act. For slight negligence, PadelLeague is only liable for breach of essential contractual obligations and limited to the typical, foreseeable damage. Liability is otherwise excluded.
9. Term and termination
The contract runs for an indefinite period and may be terminated by either party at any time in text form. The right to terminate for cause remains unaffected. After the contract ends, the club can export its booking data for 30 days; we then delete it unless a statutory retention obligation applies.
10. Changes
We notify the club of changes to these terms at least 30 days before they take effect. They only apply once the club accepts them in the club app; until then it can keep managing existing bookings but cannot newly publish a location.
11. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Frankfurt am Main where the club is a merchant, a legal entity under public law or a special fund under public law. Should a provision be invalid, the remainder of the contract stays in force.
